These Terms & Conditions (“Terms”) govern the provision of audit and consulting services (“Services”) by Exit By Ai (“we”, “us”, “our”) to the client (“you”, “your”). By booking, paying for, or engaging with our Services, you agree to these Terms.
1. Scope of Services
Our audits follow the Exit By Ai framework, including analysis of operations, marketing, sales, systems, automation opportunities, and sale-readiness factors.
Deliverables are recommendations, reports, and roadmaps.
We do not provide financial, legal, tax, or regulated valuation advice. Any decisions you make from our reports remain your responsibility.
2. Payment Terms
Audit fees are payable either in full at the time of booking or in two instalments (50% deposit on booking, 50% balance on delivery of the final report).
Deposits are non-refundable, except where we cancel your audit.
For in-person strategy days, payment is required in full at the time of booking.
If balances remain unpaid after delivery, we reserve the right to withhold deliverables until cleared.
3. Refunds & Cancellations
Deposits: All deposits are non-refundable, as they secure your booking and audit preparation.
Balance Payments: Once an audit has been delivered in full, balance payments are non-refundable.
In-Person Strategy Day: Payment is non-refundable, but you may reschedule once with at least 7 days’ notice.
If We Cancel: In the rare event we cancel, any deposit or fee paid will be refunded in full.
Client Cancellations: If you cancel after work has begun, you will remain liable for the portion of work completed.
4. Client Responsibilities
You agree to provide timely access to information, documentation, and team members necessary for us to complete the audit.
You are responsible for ensuring the accuracy of any information provided.
Delays in providing information may impact delivery times.
5. Rescheduling
You may reschedule booked calls or sessions with at least 48 hours’ notice.
Cancellations with less than 48 hours’ notice may be charged at our discretion.
If you fail to attend a booked session without notice, that session may be forfeited.
6. Confidentiality
Both parties agree to keep all business, financial, and personal information shared during the audit confidential.
We may use anonymised data (with all identifiers removed) for internal training, marketing, or benchmarking.
7. Intellectual Property
All frameworks, tools, and templates used in delivering the audit remain the intellectual property of Exit By Ai.
You are granted a licence to use the delivered recommendations internally within your business.
You may not reproduce, share, or resell our materials without prior written consent.
8. Limitation of Liability
We will exercise reasonable skill and care in delivering our Services.
To the maximum extent permitted by law, we are not liable for any indirect, consequential, or financial loss, including lost profits, sales, or opportunities arising from use of our Services.
Our total liability shall not exceed the fees paid for the relevant audit.
9. Force Majeure
We are not liable for any delay or failure to perform our obligations due to circumstances beyond our reasonable control, including but not limited to illness, accidents, strikes, industrial disputes, acts of God, natural disasters, government restrictions, power or internet outages, or other unforeseen events.
In such cases, we will notify you as soon as possible and agree on a revised delivery timeline.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales, and disputes shall be subject to the exclusive jurisdiction of the UK courts.
